Change in Director

Generally, Directors are appointed by the Shareholders of the company to ensure that the day to day operations of the company are executed in an efficient manner and they are responsible for conducting the affairs of the company in manner that safeguards the success and profitability and thus enhancing the image of the company. A new Director appointed by the Board of Directors of the Company to the Board is called as an ‘Additional Director’. Such a Director shall hold the office only up to the next Annual General Meeting of the company.

The Changes in the Board of Directors can be effected either by

  • Appointment
  • Resignation
  • Removal
  • Change in designation

Every Such Change in composition of the Board of Directors of the Company is to be intimated to Registrar of Companies vide e Form DIR 12 within 30 days from the date of change of Composition. Further, in case any director intending to resign from the directorship of any company, then he can resign by way of giving resignation letter to the Board of Director of the Company. Thereafter, E-form DIR-11 and DIR-12 form is required to be filed with ROC within 30 days from the date of resignation.
