Change of Registered Office
The Registered office of the Company is the Principal place of business of a Company & where all communications relating to Company are sent. The Companies Act, 2013, mandatorily requires every company to mention address of its Registered Office in all its letterheads, publications. Newly incorporated company has to furnish verification of its Registered Office to ROC within 30 days of its incorporation in Form INC-22 along with fees. The existing Company desiring to shift its Registered Office needs to intimate such change to ROC by filing Form INC 22 along with required documents.
Shifting of Registered Office may be;
- Within the local limits of the City where registered office is situated- By passing Board Resolution
- Within the same state outside the local limits- By passing Special Resolution
- Outside the state under same ROC- By passing Special Resolution with Regional Director approval
- Outside the state under different ROC- By passing Special Resolution with Regional Director approval
