Under the Companies Act, 2013, Every company is required to file its financial statements (in Form AOC 4) and Annual Return (in Form MGT 7) as on the date of closure of financial year. In addition, the Public Companies and Listed Companies are required to file Form MGT-14 for Filing of resolutions with MCA regarding Approval of Board of Directors’ Report and Annual Accounts (Private Companies are exempted from this Compliance).
Due date of filing these forms?
- Form AOC 4 and Form MGT-7 is to be filed within 30 days and 60 days of the date of Annual General Meeting in which financials are approved by the shareholders respectively.
- The due date for Annual General Meeting is on or before the 30th day of September following the close of every financial year.
- Therefore, the last date for filing form AOC 4 is generally 29th October and MGT-7 is generally 29th of November every year. (Except One Person Company)
Consequences of non-filing the form?
The penalty for not filing an annual return has been increased to Rs. 100 (Rupees Hundred) per day of default. Hence, it should be ensured that these forms are filed before the due date.
